Terms of service

These terms are the agreement between you and INVULLEN, the company behind CutLink. They apply from the moment you create an account. We have tried to write them the way we would explain them across a table.

01Who we are

02What the service is

CutLink turns a set of files into a page you can send to a client. You upload work, you arrange it, and you get one link. Whoever opens that link sees a presentation rather than a folder, and can leave a comment on the file and the moment it is about.

What CutLink is not: it is not a backup, not an archive, and not a vault. Keep your own copy of everything you upload. Section 9 says the same thing in less friendly language, and we mean it here too.

03Your account

• You need an account to create projects. The people you send links to do not.
• You are responsible for what happens under your account, so keep your sign-in to yourself.
• One account belongs to one person. A studio plan lets you add more people, each with their own account.
• You must be at least 16, and if you are signing up on behalf of a company you must be allowed to commit that company.

04Plans, payment and cancelling

The prices on the pricing page are what you pay, in euros, excluding VAT where VAT applies. A plan renews by itself, monthly or yearly, until you stop it.

• Stopping takes one click in your account and takes effect at the end of the period you already paid for. Nothing to phone about, no notice period.
• What you already paid we do not refund for the part of the period you did not use. A yearly plan you cancel in month two runs out at the end of month twelve.
• If a payment fails we will tell you and try again. Your links keep working for 14 days. After that they go dark, and 30 days later the files are removed.
• If prices change you hear it at least 30 days beforehand, and the new price applies from your next period. Do not like it, cancel before then.
• Consumers have a 14 day right of withdrawal. Ask us to start the service right away and you give that up for the part already delivered, which is how it works for any digital service.

05The free plan

The free plan is a real plan, not a trial that nags. It gives you 2 GB of live storage and one project, and that project stays up for seven days. After seven days the link stops working and the files are removed. No card, nothing to cancel, and no email asking whether you have thought about it.

We do not promise the free plan will exist forever, or in this shape. If it changes, existing free projects keep running to the end of their seven days.

06What you may put on it

You may upload work you made, or work you have the right to distribute. That is the whole rule. The list below is what it rules out:

• Material that is not yours to share.
• Material that is against the law where you are or where we are, which includes anything involving children, anything that incites violence, and anything designed to defraud.
• Malware, or files dressed up as something they are not.
• Using CutLink as a general file host or a content delivery network for a website. It is for handing finished work to a client.
• Trying to get past the limits of your plan by technical means, or hammering the service in a way that spoils it for others.

If we get a credible report that something on your account breaks this, we will contact you first, unless the law leaves us no room or the material is so plainly illegal that waiting is not defensible. We may then take the project offline. We will always tell you what we did and why.

07Your work stays yours

The other way round, the CutLink name, the logo, the site and the software are ours. Using the service does not give you any right to those.

08Availability

We aim for the service to be up, and we will keep it up as well as we reasonably can, but we do not promise a percentage. There is no service level agreement, on any plan. Planned work that takes the service offline we announce beforehand where we can.

09Liability

Between businesses the following applies. Where the law gives a consumer more, the consumer gets more.

• Our liability in any twelve month period is limited to what you paid us in that period, with a floor of one hundred euros.
• We are not liable for indirect damage: lost profit, a client you lost, work you had to do twice, or data you did not keep a copy of.
• None of this applies where the damage is caused by intent or deliberate recklessness on our part. You cannot sign that away and we would not ask you to.
• Keep your own copy of your work. We say it twice on purpose.

10Ending the agreement

You can delete your account whenever you want. Doing so removes your projects and files, and that cannot be undone.

We can end the agreement if you break section 6, if you do not pay, or if we stop offering the service. In the last case you get at least 60 days' notice and we refund the part of the period you paid for and will not get.

11Changes to these terms

If these terms change in a way that affects you, we will email you at least 30 days beforehand. Carrying on using the service after that means you accept the new version. If you do not, cancel before the date and nothing changes for the period you already paid.

12Law and court

Dutch law applies. Disputes go to the INVULLEN district court, unless a mandatory rule points somewhere else, which for consumers it often does.
